As part of our buy-side assignment ORCA Consulting Group will identify potential target companies or business units that are available for an acquisition and which would fit to your strategy. During the process, we will support you by providing an independent view on the value of the opportunity being considered. We can assist you with the strategic appraisal, the analysis of the „cultural fit“ of certain target companies, the financial and business due diligence (for legal due diligence we can recommend suitable partners), the structuring and negotiation of the transaction. Also, when needed we will clarify regulatory issues (e.g. with the relevant cartel offices and other regulatory authorities, e.g. BaFin). We support in drafting the necessary documentation (e.g. to be presented to the financing banks or to supervisory bodies).

We will be delighted to lead or coach you in probably one of the most important decisions you must take in your business life. However, we advise to involve us at an early stage of your considerations because only a good preparation and an early start of the process will secure its smooth implementation.

Many family businesses face the arrangement of the succession. This gives qualified family members the opportunity to lead their own company as new head into the future. ORCA Consulting Group helps to solve potential conflicts between the successor and such family members who were not to be considered or who decided not to take on a leading position in the family business.

Often, family businesses are led by outside managers not related to the founder’s family. ORCA Consulting Group assists to secure the interests of the family in preserving the created values and to motivate the external manager long-term.

Frequently the continuation of the family business in the former structure, created for and designed to meet the needs of the founders, is not the best solution. Accordingly, we would advise to adjust the structure in due course to accompany the suitable strategy for preparing the succession. In case of death it may be essential to act fast to be able to continue operating the company. If needed, we might take on interim management tasks or support in hiring capable management.

ORCA Consulting Group has been advising in situations where the founder of a company wants to transfer his business to a management team. To start an MBO/ MBI process requires first of all a clear definition and understanding of the majority shareholder’s position.

ORCA Consulting Group will ask the right questions to guide any owner willing to transfer his business to an internal or external manager. ORCA will support and mediate to find the best direction and to avoid potential conflicts of interest inherent in such a „change“ process. Even if you know your top management team for many years, our advice might be needed to assist in avoiding conflict of interests not uncommon during such change process.
